1. Overview

Coheara is a SaaS platform designed for service-business owners to document job procedures, capture proof of work, and analyze growth metrics using AI-powered insights. By using Coheara, you agree to these Terms of Service.

Our platform helps you create sites, procedures, and runs; upload photos; view proof pages; and access AI-driven coaching to improve operational efficiency and business growth.

2. Account Eligibility & Responsibilities

To use Coheara, you must be at least 18 years old and capable of entering into a binding contract. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breaches
• Accept responsibility for all activities that occur under your account

3. Acceptable Use Policy

You agree not to misuse Coheara's services. Prohibited activities include:

• AI System Misuse: Attempting prompt injections, data extraction attacks, adversarial prompts, or reverse-engineering of AI models
• Malicious Activity: Spamming, phishing, distributing malware, or engaging in fraudulent behavior
• Unauthorized Access: Attempting to access other users' data, bypass security measures, or exploit system vulnerabilities
• Account Sharing Abuse: Sharing credentials across multiple organizations or using automated tools to circumvent usage limits

Violation of this policy may result in immediate account suspension or termination without refund.

4. Payment Terms

Coheara offers tiered pricing plans (Free, Pro, Growth, and Scale) with monthly or annual billing options managed through Stripe.

• Recurring Billing: Paid plans automatically renew each billing cycle unless canceled
• Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period
• Refunds: We do not offer refunds for partial months or unused services, except as required by law
• Price Changes: We reserve the right to modify pricing with 30 days' notice to existing subscribers

5. Intellectual Property

Coheara retains all rights, title, and interest in the platform, including software, branding, design, and AI models. You are granted a limited, non-exclusive, non-transferable license to use Coheara for its intended purpose.

You retain full ownership of all data, photos, procedures, and content you upload to Coheara. We do not claim ownership of your materials.

6. AI Model Evolution

Coheara continually improves its AI models and underlying systems to enhance accuracy, speed, and user experience. Model updates may change output behavior or capabilities over time. By using Coheara, you agree that such updates are part of ongoing service improvement and that AI-generated insights are advisory in nature, not guarantees of specific outcomes.

7. Data & Content Ownership

You maintain full rights to all uploaded materials, including photos, procedures, run data, and organizational information. Coheara uses your data solely to:

• Provide and improve our services
• Generate AI insights and coaching recommendations
• Ensure platform security and prevent abuse

8. Service Availability & Disclaimers

Coheara is provided "as is" without warranties of any kind, express or implied. We strive for high availability but do not guarantee uninterrupted service. We are not liable for:

• Service interruptions, downtime, or data loss
• Decisions made based on AI-generated insights
• Third-party service failures (Stripe, Clerk, Supabase, OpenAI)
• Indirect, incidental, or consequential damages arising from platform use

Our total liability is limited to the amount you paid in the 12 months preceding any claim.

9. Termination Policy

We reserve the right to suspend or terminate your account if you:

• Violate these Terms of Service or our Acceptable Use Policy
• Fail to pay for services when due
• Engage in abusive, fraudulent, or illegal activity

Upon termination, your access to Coheara will cease, and your data will be retained according to our Privacy Policy and applicable retention periods.

10. Governing Law

These Terms of Service are governed by the laws of the State of Washington, USA, without regard to conflict of law principles. Any disputes arising from these terms will be resolved in the courts of Washington State.
